Babak KG
Healthcare Lawyer, Founder
Babak Kalbasigharavi (KG) is the founder and managing attorney of Bella Law PLLC, a boutique law firm headquartered in Houston, Texas. As a healthcare lawyer with extensive healthcare business experience, Babak blends the perspective of an attorney with the insight of an entrepreneur who spent 20 years as a home health and hospice owner and investor.
He is not only a lawyer — he is also a former healthcare business owner who built, scaled, and sold agencies for 7-figure exits. Today, he applies this dual expertise to help healthcare providers, startups, and investors protect their businesses, grow strategically, and prepare for transformative high value exits.
A Personal Journey: From Tehran to Texas
Babak’s story begins in Tehran, Iran, where he was born in 1983. At just 16 years old, he immigrated to the United States in 1998, settling in Houston, Texas. Like many new arrivals, he started with modest beginnings — attending Elsik High School by day and working at McDonald’s by night.
These early years were defined by hustle and resilience. He did whatever work was available: waiting tables, DJing, and holding down multiple jobs while studying. Each role instilled the discipline and determination that would later shape his success as both a business owner and an attorney.
By 2004, Babak had graduated with a bachelor’s degree in business at just 22 years old. Two years later, in 2006, he launched his first home health agency at 23 — the start of a lifelong connection to healthcare entrepreneurship.
In 2010, Babak was accepted to South Texas College of Law Houston. Determined to succeed on both fronts, he attended law school at night while running his second healthcare agency during the day. For three years, he balanced classrooms and clients, graduating with the tenacity of someone who understood the meaning of sacrifice.
After completing law school, Babak went on to pass the bar exam in three states — Texas, New York, and Alaska.
Between 2015 and 2019, he expanded his healthcare ventures, founding a third home care agency and later a hospice agency. By 2023, Babak achieved a major milestone: selling his home health and hospice businesses to CommonSpirit Health (CHI St. Luke’s) in Houston for a lucrative exit.
In 2025, he completed another successful transaction, selling a separate home care agency to a California-based venture capital group in a partial exit that allowed him to remain engaged while realizing substantial value.
Throughout this time, Babak built his legal career, officially practicing since 2020, combining legal expertise with 20 years of healthcare business ownership.
Early Career: 20 Years of Home Health Ownership
Long before founding Bella Law PLLC, Babak was immersed in the business of healthcare. For two decades, he founded, operated, and successfully exited multiple home health and hospice agencies in Texas. His entrepreneurial journey gave him deep, firsthand knowledge of the challenges and opportunities that healthcare business owners face.
During these 20 years, Babak developed expertise in:
- Daily operations, staffing, and clinical oversight.
- Passing rigorous Medicare and Texas state surveys.
- Maintaining compliance in billing and patient care.
- Recruiting, training, and retaining healthcare professionals.
- Negotiating contracts with referral sources, vendors, and payors.
- Building resilient business systems that could withstand audits.
- Achieving 7-figure exits.
This record of success is not only part of his professional history — it informs the way he now advises clients. Having personally built and sold companies, Babak knows the roadmap to scaling an agency and maximizing its value at exit. One of his primary goals as a lawyer is to guide other healthcare entrepreneurs to position their businesses for 7- to 8-figure exits while protecting themselves legally every step of the way.
Transition Into Law to Solve the Problem
While operating agencies, Babak observed a persistent problem: many healthcare businesses were represented by attorneys who lacked industry knowledge. General business lawyers frequently overlooked crucial issues like day to day operational challenges, healthcare fraud and abuse compliance, corporate practice of medicine restrictions in Texas, or Medicare cap liability for hospices.
Determined to find a solution, Babak established his own law practice with a singular mission — to combine his extensive healthcare business experience with the legal expertise needed to protect and guide healthcare entrepreneurs.
Today, as the healthcare M&A lawyer, he represents clients with an operator’s insight and a lawyer’s precision. His dual background allows him to help clients not only stay compliant, but also strategically scale and prepare for high-value exits.
Bella Law PLLC: A Boutique Healthcare Law Firm
When Babak founded Bella Law PLLC, his vision was to create a boutique healthcare legal services firm dedicated to providers and entrepreneurs who often fall through the cracks at larger law firms.
The firm is built on three practice areas:
- Healthcare M&A and Exit Planning – Preparing agencies for acquisition, representing buyers and sellers, and structuring deals to maximize outcomes.
- Digital Health, AI, and Compliance Law – Guiding startups and technology-driven platforms through FDA rules, liability frameworks, HIPAA, and state compliance.
- Business Law for Healthcare Entrepreneurs – Advising Texas healthcare startups on formation, contracts, governance, and healthcare fraud and abuse compliance.
Bella Law PLLC leverages modern technology and automation to deliver services efficiently, but all legal advice and decisions are always provided and reviewed by licensed attorneys. The goal is to give healthcare clients predictable, high-value legal solutions while equipping them to grow, attract investors, and exit at 7- to 8-figure valuations.
Healthcare M&A and Compliance Counsel
Babak’s practice emphasizes helping owners replicate what he has achieved himself — scaling and selling healthcare businesses for significant value. His services include:
- Transaction support for deals valued between $1M and $50M.
- Buy-side and sell-side representation for healthcare agencies.
- Exit readiness audits to prepare agencies for acquisition or merger.
- Comprehensive due diligence checklist, coaching, and review.
- Negotiation and drafting of Letters of Intent (LOIs) and purchase agreements.
- Structuring and drafting rollover equity, earn-outs, and management retention agreements.
- Advising private equity firms and venture capital investors acquiring agencies.
- Compliance programs covering Stark Law, Anti-Kickback, False Claims Act, and Medicare/Medicaid requirements.
Because he has himself successfully sold multiple agencies, Babak offers more than legal drafting — he provides strategic insight into how to prepare for due diligence, remove red flags, and increase agency valuation. His M&A practice is designed to help owners replicate his own journey from small business operator to 7-figure exit entrepreneur.
Compliance and Regulatory Counsel
Healthcare law is compliance law, and Babak counsels clients on the risks that most affect providers and investors. His compliance services include:
- Stark Law and Anti-Kickback Statute guidance.
- False Claims Act risk management.
- Medicare and Medicaid survey readiness.
- Licensing and enrollment issues with Texas health regulators.
- Drafting policies and training programs that actually work in day-to-day operations.
Because Babak understands what regulators look for — and what owners struggle with — his compliance programs are both realistic and defensible. They not only reduce legal exposure but also increase an agency’s attractiveness to investors or buyers.
Business Law for Healthcare Entrepreneurs
As Texas continues to grow its healthcare economy, Babak supports entrepreneurs launching and scaling new ventures. His work for Texas healthcare startups includes:
- Entity formation (LLCs, PLLCs, PCs).
- Drafting and negotiating operating agreements, shareholder agreements, and compliance manuals.
- Employment and medical director contracts.
- Building fraud and abuse compliance frameworks that withstand investor diligence.
Startups working with Babak benefit from his 20 years experience as a home health owner — he knows how to balance regulatory obligations with business realities. Importantly, he also teaches entrepreneurs how to design their businesses with the endgame in mind: scaling efficiently and exiting for 7- to 8-figure valuations.
Philosophy and Commitment to Clients
Babak’s philosophy centers on one principle: our commitment to client success.
For him, client success means:
- Protecting legacies.
- Reducing compliance risks.
- Enhancing profitability and business efficiency.
- Building businesses that can grow, attract investors, and exit at 7- to 8-figure valuations.
His combination of legal skill, extensive healthcare business experience, and personal record of 7-figure exits makes him a trusted partner for healthcare owners preparing for the future.
